1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Feedloop Inc. ("Company," "we," "us," or "our"), concerning your access to and use of the Feedloop website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

3. User Representations

By using the Site, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update such registration information as necessary.
  • You have the legal capacity and you agree to comply with these Terms of Service.
  • You will not use the Site for any illegal or unauthorized purpose.

4. Disclaimer

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF.

5. Paid Tests

Feedloop allows test creators to create paid tests where testers are compensated for their participation. When a paid test is created, the test creator deposits funds that are held by the platform until the test is completed and responses are approved.

  • Deposits are held in escrow until test responses are reviewed and approved by the test creator.
  • Feedloop charges a platform fee on each paid test transaction. The applicable fee is displayed before the deposit is confirmed.
  • Payouts to testers are processed in cryptocurrency via NowPayments. Testers are responsible for providing a valid wallet address.
  • Feedloop is not liable for delays, fluctuations in cryptocurrency value, or issues caused by incorrect wallet addresses provided by testers.

6. Content Ownership

  • Test creators retain full ownership of the tests, questions, and other content they create on the platform.
  • Tester responses are licensed to the test creator upon submission. By submitting a response, testers grant the test creator a perpetual, non-exclusive license to use, analyze, and store that response.
  • Platform license — By uploading content to Feedloop, you grant us a limited, non-exclusive, royalty-free license to host, display, and distribute your content solely for the purpose of operating and improving the platform.

7. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, if we determine that you have violated these Terms of Service, engaged in fraudulent activity, or otherwise acted in a manner that could harm the platform or other users.

You may delete your account at any time through your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Any pending paid test deposits or payouts will be processed or refunded before account closure is finalized.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FEEDLOOP INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED US DOLLARS (USD $100).
